1. Introduction

Welcome to NearPoint, a digital financial services platform owned and operated by NEARPOINT INDUSTRIES PRIVATE LIMITED, a company incorporated under the Companies Act, 2013, having its registered office at:

Malopara, Suti Chhabhati, Bajitpur, Aurangabad, Murshidabad, West Bengal – 742201, India.

NearPoint provides technology-enabled digital financial and utility services to individuals, retailers, merchants, distributors and business partners through its website, mobile application and associated platforms.

These Terms & Conditions govern your access to and use of the NearPoint Platform, Website, Mobile Application and all related products and services.

By accessing, registering, browsing or using the Platform, you agree to be legally bound by these Terms & Conditions.

If you do not agree with these Terms, you must discontinue using the Platform immediately.


2. About NearPoint

NearPoint is a fintech platform offering digital financial and assisted commerce services through authorized banking partners, payment partners and licensed service providers.

The Platform may offer services including but not limited to:

  • Aadhaar Enabled Payment System (AEPS)
  • Micro ATM (mATM)
  • Domestic Money Transfer (DMT)
  • Bharat Bill Payment System (BBPS)
  • Mobile & DTH Recharge
  • FASTag Recharge
  • PAN Card Services
  • Payout Services
  • Cash Management Services (CMS)
  • Insurance Services
  • Travel & Ticket Booking
  • Utility Payments
  • Other financial and non-financial services introduced from time to time. 

Availability of individual services may vary depending upon regulatory approvals, banking partners and geographical locations.


3. Acceptance of Terms

By accessing or using the Platform, you confirm that:

  • You have read these Terms & Conditions carefully.
  • You agree to comply with all applicable laws and regulations.
  • You accept these Terms without limitation or qualification.
  • You consent to the collection and processing of information in accordance with our Privacy Policy.
  • You agree to comply with our Refund Policy and other applicable policies published on the Platform. 

These Terms constitute a legally binding agreement between you and NEARPOINT INDUSTRIES PRIVATE LIMITED.


4. Eligibility

To use the Platform, you must:

  • Be at least 18 years of age.
  • Be legally competent to enter into contracts under applicable Indian laws.
  • Provide true, accurate and complete information during registration.
  • Successfully complete KYC verification wherever required.
  • Maintain updated contact and identification details. 

The Company reserves the right to refuse registration or suspend any account that fails to satisfy eligibility requirements.


5. Definitions

Unless the context otherwise requires:

Company means NEARPOINT INDUSTRIES PRIVATE LIMITED.

NearPoint means the brand owned and operated by the Company.

Platform means the NearPoint website, mobile application, APIs and all related systems.

User means any visitor, customer, retailer, merchant, distributor, business partner or any person accessing the Platform.

Retail Partner means an authorised retailer registered with NearPoint.

Customer means any person availing services through the Platform.

Merchant means any registered business using NearPoint services.

Services means all financial and non-financial services made available through the Platform.

6. Platform Services

The Company provides technology access for various digital services through authorised banks, payment aggregators, NPCI participants and licensed service providers.

The Company may introduce, modify, suspend or discontinue any service at its sole discretion without prior notice where required by law or operational necessity.

Availability of services depends upon:

  • Partner bank availability
  • NPCI availability
  • Regulatory approvals
  • Network connectivity
  • Technical maintenance
  • Risk monitoring
  • Compliance requirements 

The Company does not guarantee uninterrupted availability of every service.


7. User Registration

Certain services require registration.

You agree to:

  • Provide accurate information.
  • Maintain confidentiality of your login credentials.
  • Immediately notify us of any unauthorised access.
  • Ensure that all activities conducted through your account are authorised by you. 

The Company reserves the right to suspend or terminate accounts that provide false information or engage in suspicious activities.


8. KYC & Verification

Users may be required to complete Know Your Customer (KYC) verification as prescribed by applicable laws, RBI, NPCI, partner banks or authorised institutions.

Failure to complete KYC may result in:

  • Suspension of services.
  • Transaction limits.
  • Temporary restrictions.
  • Permanent account closure where required by law.

9. User Responsibilities

Every User of the Platform agrees to:

  • Use the Platform only for lawful purposes.
  • Provide accurate, complete and updated information.
  • Maintain the confidentiality of login credentials, passwords and OTPs.
  • Immediately notify the Company of any unauthorized access or security breach.
  • Comply with all applicable laws, RBI, NPCI, UIDAI, Government and banking regulations.
  • Use the Platform in accordance with these Terms & Conditions.

The User shall be solely responsible for all activities carried out through his/her registered account.


10. Customer Responsibilities

Customers using NearPoint services shall:

  • Verify transaction details before confirming any transaction.
  • Ensure sufficient funds are available before initiating payments.
  • Keep Aadhaar, PAN, bank account and other KYC details accurate.
  • Never share OTP, MPIN, Password, Aadhaar Authentication OTP or biometric data with unauthorized persons.
  • Immediately report any suspicious activity to the Company.

The Company shall not be liable for any loss arising from incorrect information provided by the Customer or negligence in safeguarding credentials.


11. Retail Partner Responsibilities

Every Retail Partner agrees that he/she shall:

  • Operate honestly and ethically.
  • Display all mandatory licences and approvals where required.
  • Follow RBI, NPCI, UIDAI, banking partner and Company guidelines.
  • Maintain proper records of transactions wherever applicable.
  • Not misrepresent any NearPoint service.
  • Cooperate with audits, inspections or investigations conducted by the Company or regulatory authorities.
  • Promptly update any changes to business information, ownership or KYC documents.

Retail Partners remain solely responsible for compliance with applicable tax, labour and local regulatory requirements relating to their own business operations.


12. Platform Usage Rules

Users shall NOT:

  • Use the Platform for illegal or fraudulent activities.
  • Upload malware, viruses or harmful code.
  • Attempt to hack, bypass or interfere with Platform security.
  • Reverse engineer, copy or modify the Platform without authorization.
  • Use automated bots or scripts that negatively affect Platform performance.
  • Misuse another person's identity or account.
  • Upload unlawful, abusive, defamatory or obscene content.
  • Violate any applicable law or regulatory requirement.

Violation of these rules may result in immediate suspension or termination of access.


13. AEPS Services

Where Aadhaar Enabled Payment System (AEPS) services are available through authorized partner banks:

  • Transactions shall be processed subject to NPCI, UIDAI and partner bank rules.
  • Successful biometric authentication does not guarantee transaction approval.
  • Transaction approval depends upon banking network availability and bank authorization.
  • The Company acts only as a technology platform and does not hold customer deposits.
  • Failed or pending transactions shall be handled according to partner bank settlement procedures.

14. Domestic Money Transfer (DMT)

For DMT services:

  • The sender must provide correct beneficiary information.
  • Transactions cannot be cancelled once successfully processed.
  • Transfer limits shall be governed by RBI guidelines and partner bank policies.
  • Additional verification may be required before processing transactions.
  • The Company may decline or delay transactions for fraud prevention, compliance checks or regulatory requirements.

15. Bharat Bill Payment System (BBPS)

BBPS services are provided through authorized biller networks.

Users agree that:

  • Bill information is received from respective billers.
  • The Company is not responsible for incorrect bill information supplied by billers.
  • Payment confirmation depends upon the concerned biller and settlement systems.
  • Delays caused by billers, banking partners or network issues are beyond the Company's reasonable control.

16. Recharge Services

Recharge services include, where available:

  • Mobile Recharge
  • DTH Recharge
  • FASTag Recharge
  • Data Card Recharge
  • Other digital recharge services

Users must verify the mobile number, operator, account or vehicle details before confirming a recharge. Transactions successfully processed through partner systems generally cannot be reversed.


17. PAN & eKYC Services

PAN Card related services are provided through authorized service providers.

The Company:

  • Does not guarantee approval or issuance of a PAN card.
  • Is not responsible for delays caused by the issuing authority.
  • May request additional documents whenever required.
  • May reject incomplete or incorrect applications.

18. Payout Services

Payout transactions are processed through authorized banking channels.

The Company may:

  • Verify beneficiary details.
  • Delay transactions for compliance review.
  • Reject suspicious transactions.
  • Impose limits based on applicable laws, partner requirements or internal risk controls.

Settlement timelines may vary depending upon banking partners and public holidays.

19. Wallet, Deposits & Settlement

Certain services available through the Platform may require Users, Merchants or Retail Partners to maintain a prepaid balance, security deposit or service wallet.

The Company may:

  • Require advance wallet loading for selected services.
  • Debit applicable service charges, taxes or adjustments.
  • Suspend transactions if sufficient balance is unavailable.
  • Reverse incorrect credits or duplicate settlements.
  • Freeze wallet balances where required by law, banking partners or fraud investigations.

Wallet balances do not constitute bank deposits and shall not earn any interest unless expressly specified by the Company.


20. Fees & Charges

The Company may charge:

  • Registration Fees
  • Annual Maintenance Charges
  • Service Charges
  • Platform Fees
  • Convenience Fees
  • Wallet Loading Charges
  • Transaction Charges
  • Inactive Account Charges
  • Applicable Government Taxes

All applicable charges may be revised from time to time without prior notice where permitted under applicable law.

Updated charges may be published on the Website, Mobile Application or communicated through official channels.


21. Payments

All payments made through the Platform shall be subject to:

  • Banking partner approval
  • NPCI guidelines
  • RBI regulations
  • Payment gateway policies
  • Applicable laws

The Company reserves the right to refuse, suspend or delay any transaction if:

  • Fraud is suspected.
  • Regulatory verification is pending.
  • Incorrect information has been provided.
  • Technical issues occur.
  • Instructions are received from competent authorities.

22. Refund & Cancellation

Refunds shall be governed by the Company's Refund Policy available on the Website.

Unless otherwise required by law:

  • Successfully processed financial transactions cannot be cancelled.
  • Failed transactions shall be handled in accordance with partner bank settlement procedures.
  • Refund timelines depend upon banks, payment gateways and service providers.
  • Service charges may be non-refundable unless otherwise specified.

The Company shall make reasonable efforts to process eligible refunds within applicable timelines.


23. Privacy & Data Protection

The Company values the privacy of its Users.

Collection, processing, storage and sharing of personal information shall be governed by the Company's Privacy Policy.

By using the Platform, Users consent to:

  • Collection of personal information.
  • KYC verification.
  • Risk assessment.
  • Fraud prevention.
  • Regulatory reporting.
  • Sharing information with banking partners, payment partners, government authorities and authorised third parties where legally required.

The Company implements reasonable administrative, technical and organisational safeguards to protect personal information but cannot guarantee absolute security.


24. AML & KYC Compliance

Users agree to comply with all applicable Anti-Money Laundering (AML), Counter Terrorist Financing (CTF) and Know Your Customer (KYC) requirements.

The Company may:

  • Request additional documents.
  • Suspend transactions pending verification.
  • Report suspicious transactions to competent authorities.
  • Reject services where compliance requirements are not satisfied.

25. Third-Party Services

The Platform may provide access to services offered by:

  • Banks
  • NPCI participants
  • Payment Aggregators
  • Payment Gateways
  • Insurance Companies
  • Travel Partners
  • Utility Providers
  • Government Service Providers
  • Other authorised third parties

The Company acts as a technology platform or facilitator wherever applicable and shall not be responsible for the independent acts, omissions, delays or decisions of such third parties.


26. Intellectual Property

All rights, title and interest in the Platform, Website, Mobile Application, software, source code, trademarks, logos, designs, graphics, text, databases, business processes and other intellectual property belong exclusively to the Company or its licensors.

Users shall not:

  • Copy
  • Modify
  • Reverse engineer
  • Distribute
  • Sell
  • License
  • Reproduce
  • Republish
  • Create derivative works

without prior written permission from the Company.


27. Disclaimer of Warranties

The Platform and all services are provided on an "AS IS" and "AS AVAILABLE" basis.

To the maximum extent permitted by applicable law, the Company disclaims all express and implied warranties including but not limited to:

  • Merchantability
  • Fitness for a particular purpose
  • Accuracy
  • Availability
  • Non-infringement
  • Continuous operation

The Company does not warrant that:

  • Services will always be uninterrupted.
  • Every transaction will be successful.
  • The Platform will always be free from errors, bugs or viruses.

28. Limitation of Liability

To the maximum extent permitted by applicable law, the Company shall not be liable for any:

  • Indirect loss
  • Consequential loss
  • Special damages
  • Loss of profit
  • Business interruption
  • Loss of goodwill
  • Data loss
  • Banking delays
  • Third-party service failures
  • Network outages
  • Technical interruptions
  • Regulatory restrictions

The Company's liability, if any, shall be limited to the extent permitted under applicable law.


29. Indemnity

Users agree to indemnify, defend and hold harmless NEARPOINT INDUSTRIES PRIVATE LIMITED, its directors, officers, employees, affiliates, licensors and partners from any claims, losses, liabilities, damages, costs or expenses arising from:

  • Violation of these Terms.
  • Misuse of the Platform.
  • Fraudulent activities.
  • Violation of applicable laws.
  • Infringement of third-party rights.
  • Incorrect information submitted by the User.

30. Suspension and Termination

The Company reserves the right to suspend, restrict or terminate any User account, Retail Partner account or Merchant account, with or without prior notice, if:

  • These Terms & Conditions are violated.
  • Fraudulent, illegal or suspicious activities are detected.
  • KYC or regulatory requirements are not fulfilled.
  • Directions are received from RBI, NPCI, UIDAI, partner banks, government authorities or competent courts.
  • The Platform is being misused.
  • False, misleading or inaccurate information has been provided.

Upon termination, the User shall immediately cease using the Platform. The Company may retain records as required under applicable law.


31. Force Majeure

The Company shall not be liable for any delay, interruption or failure in providing services resulting from circumstances beyond its reasonable control, including but not limited to:

  • Natural disasters
  • Floods
  • Earthquakes
  • Fire
  • Pandemic
  • Government restrictions
  • Cyber attacks
  • Internet failures
  • Power failures
  • Banking network failures
  • NPCI downtime
  • Partner bank downtime
  • War
  • Civil unrest
  • Labour disputes

The Company shall resume services as soon as reasonably practicable after such events.


32. Governing Law

These Terms & Conditions shall be governed by and construed in accordance with the laws of India.

All Users agree to comply with applicable laws, RBI regulations, NPCI operating guidelines, UIDAI requirements and other statutory directions applicable to the services offered through the Platform.


33. Dispute Resolution

The Company encourages Users to first contact Customer Support to resolve any dispute amicably.

If a dispute cannot be resolved through mutual discussion, the parties may pursue remedies available under applicable Indian law.


34. Jurisdiction

Subject to applicable law and any mandatory statutory provisions, the courts having jurisdiction over the registered office of NEARPOINT INDUSTRIES PRIVATE LIMITED shall have exclusive jurisdiction over disputes arising from these Terms & Conditions.

(If you sign agreements with a payment partner requiring another jurisdiction, such as Mumbai, that specific agreement may govern that relationship.)


35. Grievance Redressal

Users may submit complaints relating to transactions, services or the Platform through the official customer support channels.

The Company shall make reasonable efforts to acknowledge and address complaints within applicable timelines.

Users should provide:

  • Transaction ID
  • Date of Transaction
  • Service Name
  • Description of Complaint
  • Supporting Documents (if applicable)

37. Policy Updates

The Company reserves the right to modify, revise or update these Terms & Conditions at any time.

Updated versions shall become effective upon publication on the Company's Website or Mobile Application unless otherwise required by law.

Continued use of the Platform after such publication constitutes acceptance of the revised Terms.


38. Severability

If any provision of these Terms is held to be invalid, illegal or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.


39. Waiver

Failure by the Company to enforce any provision of these Terms shall not constitute a waiver of that provision or of any other rights available under law.


40. Assignment

The Company may assign or transfer its rights and obligations under these Terms to any affiliate, successor or permitted assignee.

Users may not assign or transfer their rights or obligations without the Company's prior written consent.


41. Entire Agreement

These Terms & Conditions, together with the Company's Privacy Policy, Refund Policy, Cancellation Policy and any other policies published by the Company, constitute the entire agreement between the User and the Company regarding the use of the Platform.


42. Survival

The following provisions shall survive termination of these Terms to the extent applicable:

  • Intellectual Property
  • Privacy & Data Protection
  • Confidentiality
  • Indemnity
  • Limitation of Liability
  • Dispute Resolution
  • Governing Law
  • Jurisdiction
  • Any provisions that by their nature are intended to survive termination.

Acceptance

By accessing, registering, browsing or using the NearPoint Website, Mobile Application or any of its services, you acknowledge that you have read, understood and agreed to be bound by these Terms & Conditions.

44. Chargeback, Fraud, Recovery & Compensation

44.1 Chargeback Liability

Where any chargeback, reversal, dispute, refund, financial loss, penalty, regulatory action or recovery arises due to the act, omission, negligence, misrepresentation, unauthorized transaction, fake KYC, forged documents, fraudulent activity or breach of these Terms by any Retail Partner, Merchant, Distributor or User, such person shall be solely and exclusively responsible for the entire amount of such loss.

44.2 Recovery of Loss

The Company shall have the absolute right to recover the entire amount of such loss, chargeback, compensation, penalty, legal expenses, investigation costs and any other incidental expenses from the concerned Retail Partner, Merchant, Distributor or User.

The Company may recover such amounts by:

  • Adjusting wallet balance or settlement amounts.
  • Withholding commissions or incentives.
  • Freezing or suspending the account.
  • Recovering the amount through legal proceedings or any other lawful means available under applicable law.

44.3 Fraudulent Transactions

If any transaction is found to be fraudulent, suspicious, unauthorized, manipulated, involving forged documents, identity theft, fake biometric authentication, money laundering or any activity prohibited under applicable law, the Company reserves the right to:

  • Immediately suspend or terminate the account.
  • Block all future transactions.
  • Freeze wallet balances.
  • Recover all financial losses.
  • Report the matter to partner banks, NPCI, UIDAI, law enforcement agencies or other competent authorities.

44.4 Compensation

The concerned Retail Partner, Merchant, Distributor or User shall indemnify and compensate the Company for all direct losses, chargebacks, penalties, regulatory claims, legal costs and expenses suffered by the Company due to such person's acts or omissions.

44.5 Limitation of Company's Liability

To the maximum extent permitted under applicable law, the Company shall not be responsible for any chargeback, fraudulent transaction, customer dispute or financial loss caused by the negligence, fraud, misconduct, unauthorized acts or breach of these Terms by any Retail Partner, Merchant, Distributor or User. The responsibility for such losses shall rest solely with the person responsible for the relevant act or omission.

45. Fraud, Chargeback, Recovery & Legal Action

The Company maintains a zero-tolerance policy towards fraud, financial misconduct and misuse of its Platform.

If any Retail Partner, Merchant, Distributor, Customer or User is found to have engaged in or facilitated any fraudulent, unauthorized, illegal or suspicious activity, including but not limited to fake KYC, forged documents, identity theft, fake biometric authentication, money laundering, chargeback fraud, transaction manipulation, unauthorized cash handling, misuse of customer accounts or any violation of applicable laws or these Terms & Conditions, the Company shall have the right to take immediate action.

Such action may include, without limitation:

  • Immediate suspension or permanent termination of the account.
  • Freezing of wallet balance, commissions, incentives or settlements.
  • Recovery and adjustment of any outstanding dues, losses, penalties, chargebacks or compensation from any wallet balance, settlement amount or other monies payable to the concerned person.
  • Reporting the matter to partner banks, payment aggregators, NPCI, UIDAI, RBI, law enforcement agencies or any other competent regulatory authority.
  • Initiating civil or criminal legal proceedings wherever applicable.

The concerned Retail Partner, Merchant, Distributor or User shall be solely responsible for all financial losses, chargebacks, reversals, penalties, claims, damages, regulatory actions, legal costs and other expenses arising from such acts or omissions.

The Company shall have the right to recover the full amount of such losses together with any applicable legal expenses and other incidental costs through adjustment, withholding of settlements, recovery proceedings or any other lawful means.

To the fullest extent permitted under applicable law, NEARPOINT INDUSTRIES PRIVATE LIMITED shall not be liable for any loss, chargeback, compensation, customer claim or financial damage arising due to the fraud, negligence, misconduct, unauthorized acts or breach of these Terms by any Retail Partner, Merchant, Distributor, Customer or User. The entire responsibility shall rest solely upon the person responsible for such act, and such person shall indemnify and keep the Company fully indemnified against all resulting losses, liabilities and claims.

46. Banking Partner Protection & Regulatory Compliance

The User, Customer, Retail Partner, Merchant and Distributor acknowledge and agree that all financial services made available through the Platform are facilitated through authorised banks, regulated financial institutions, payment aggregators, payment gateways, NPCI participants and other licensed service providers.

The Company acts only as a technology platform, facilitator and service provider, unless expressly stated otherwise.

The Company shall not be responsible or liable for any loss, delay, rejection, reversal, chargeback, settlement issue, service interruption, transaction failure, account freeze, technical error or regulatory action arising from or attributable to:

  • Any act, omission or decision of a banking partner, payment gateway, payment aggregator or third-party service provider;
  • RBI, NPCI, UIDAI or Government directions, circulars or regulatory actions;
  • Network failures, banking downtime or scheduled maintenance;
  • Incorrect information provided by the User, Customer, Retail Partner or Merchant;
  • Fraudulent, unauthorised or illegal activities committed by any User, Customer, Retail Partner, Merchant or Distributor.

Where any financial loss, chargeback, penalty, compensation, regulatory claim or legal liability arises due to the acts or omissions of any User, Customer, Retail Partner, Merchant or Distributor, such person shall bear full responsibility and shall indemnify the Company against all resulting claims, losses, damages, penalties, legal expenses and liabilities.

The Company reserves the right to suspend services, withhold settlements, recover outstanding dues, freeze wallets or accounts and initiate appropriate legal or regulatory action whenever necessary to protect its legitimate business interests and to comply with applicable laws.
